You are subject to the Settlement, and you may be a member of the Settlement Class, unless you timely request to be excluded. The Settlement Class consists of the following:
All persons and entities that purchased or acquired UGI publicly traded common stock pursuant and/or traceable to the Registration Statement issued in connection with UGI’s August 21, 2019 acquisition of AmeriGas Partners L.P., and were allegedly damaged thereby.
Excluded from the Settlement Class are: (i) Defendants; (ii) members of the immediate families of the Individual Defendants; (iii) any person who was an officer or director of UGI (at all relevant times); (iv) any firm or entity in which any Defendant has or had a controlling interest; (v) parents, affiliates, or subsidiaries of UGI; (vi) the Company’s employee retirement and benefit plan(s) and their participants and beneficiaries, to the extent they purchased or otherwise acquired through such plan(s) UGI common stock pursuant and/or traceable to the Registration Statement; and (vii) the legal representatives, agents, heirs, beneficiaries, successors-in-interest, or assigns of any excluded person or entity, in their respective capacity as such. Also excluded from the Settlement Class are those who timely and validly seek exclusion from the Settlement Class that are accepted by the Court.
